These Terms of Service ("Terms") govern your access to and use of the BoomtownTrades platform, including our website at boomtowntrades.com and all related services (the "Service"), operated by BoomtownTrades LLC ("BoomtownTrades," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

BoomtownTrades provides an MMS-to-web portfolio publishing platform for local service professionals ("Contractors"). Contractors send photos of completed work via MMS to a dedicated phone number. Our system processes these photos and publishes them to a publicly-accessible, SEO-optimized portfolio page.

2. Eligibility

You must be at least 18 years of age and a legally operating business or sole proprietor to use the Service. By registering, you represent that you have the authority to bind your business to these Terms.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for safeguarding your account credentials and phone number.
• You must notify us immediately of any unauthorized use of your account.
• One business entity per account. Multiple accounts for the same business are not permitted.

4. Subscription and Payment

• The Service is offered under a freemium model. Free-tier accounts have limited features (e.g., maximum 3 portfolio photos).
• Paid subscriptions ("Pro" and above) are billed monthly through Stripe.
• Subscription fees are non-refundable except where required by law.
• We reserve the right to modify pricing with 30 days' notice via email.
• Failure to maintain an active payment method may result in service suspension.

5. Content Ownership and License

5.1 Your Content

You retain full ownership of all photos, images, and text you submit to the Service ("Your Content"). By submitting content, you grant BoomtownTrades a non-exclusive, worldwide, royalty-free license to display, host, store, and distribute Your Content solely for the purpose of operating the Service — including publishing it on your public portfolio page.

5.2 Content Standards

You agree not to submit content that:

• You do not have the right to share (e.g., another contractor's work).
• Is obscene, defamatory, threatening, or harassing.
• Violates any law, regulation, or third-party rights.
• Contains malware, viruses, or other harmful code.
• Is spam, misleading, or unrelated to your trade services.

5.3 Content Removal

We reserve the right to remove any content that violates these Terms without notice. You may delete your own photos at any time through the dashboard or by contacting support.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose.
• Attempt to reverse-engineer, hack, or disrupt the Service.
• Use automated systems to send excessive MMS messages (rate limits apply).
• Impersonate another business or individual.
• Use the Service to send unsolicited commercial messages (spam).

7. SMS/MMS Messaging

The Service uses SMS/MMS messaging as its core input mechanism. By signing up:

• You consent to receiving transactional SMS/MMS messages from us (photo confirmations, account updates).
• Standard message and data rates may apply.
• You can opt out at any time by texting STOP to your BoomtownTrades number.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOMTOWNTRADES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total aggregate liability for all claims arising under these Terms shall not exceed the amount paid by you to BoomtownTrades in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless BoomtownTrades, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of the Service, your content, or your violation of these Terms.

10. Termination

• You may cancel your account at any time by contacting support@boomtowntrades.com.
• We may suspend or terminate your account for violation of these Terms with or without notice.
• Upon termination, your portfolio page will be taken offline and your data deleted within 30 days.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Oklahoma County, Oklahoma.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or a notice on the website at least 30 days before taking effect. Continued use after changes constitutes acceptance.
